1.Acceptance of These Terms
These Terms of Use (the "Terms") form a binding agreement between Mdsimulation LTD ("DentalCommunication", "we", "us") and any person who accesses or uses the DentalCommunication service (the "Service", "you"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
We may update these Terms at any time. The updated version becomes effective when posted on this page. Continued use of the Service after an update constitutes acceptance of the revised Terms.
2.The Service
DentalCommunication is a platform for dental clinics that delivers educational videos and information to patients, in the waiting room and through secure, token-based patient pages accessed for example via QR code or link. The Service includes free and paid tiers.
3.Eligibility
Clinic accounts are intended for dental clinics, practitioners, and their authorized staff. Patient pages are intended for the patients of those clinics, aged 18 or older or assisted by a parent or legal guardian.
4.Informational Content Only - No Medical Advice
All videos, animations, and information delivered through the Service are general educational material. They are not medical or dental advice, not a diagnosis, and not a treatment recommendation, and they do not replace the consultation with your practitioner. The clinic selects the content shown or sent to its patients and is solely responsible for that selection and for the clinical communication with its patients.
5."AS IS" Provision
The Service, including its free tier, its applications, and its patient pages, is provided "AS IS" and "AS AVAILABLE", with all faults. It may contain defects and may be modified, suspended, or discontinued at any time. For paid plans, the Limited Service Warranty section below applies; all other aspects remain "AS IS".
Video delivery relies on third-party platforms (such as Vimeo or YouTube), whose availability and terms are outside our control.
6.Delivery Log (Medico-Legal Documentation)
For documentation purposes, the Service keeps an immutable log of content deliveries to patient pages (for example date, time, and content delivered). This log serves the clinic's medico-legal documentation and is retained accordingly.
7.Fees and Payments (Paid Plans)
- The customer agrees to pay the fees specified in the applicable order form or online checkout.
- Fees are exclusive of taxes and additional charges.
- Unless stated otherwise, payment is due within thirty (30) days from the invoice date.
- Late payment bears interest of 1.5% per month, compounded quarterly.
- If a payment delay exceeds thirty (30) days, Mdsimulation LTD may suspend the Service until full payment is made.
- Mdsimulation LTD may adjust its fees upon renewal with thirty (30) days' notice.
8.Limited Service Warranty (Paid Plans)
For paid subscriptions, Mdsimulation LTD warrants that the Service will be performed in accordance with generally accepted industry standards. Any defect must be reported within fifteen (15) days of its discovery. Mdsimulation LTD's sole obligation, and your sole remedy, in case of non-compliance with this warranty is the re-performance of the relevant service.
Except as expressly stated above, the Service is provided without any other warranty of any kind. Free, trial, demo, and "lite" features remain provided strictly "AS IS", without any warranty, and may contain defects.
9.One-Time and Perpetual-Type Licenses
Where a One-Time License is offered, it grants access to the Service without recurring fees for as long as Mdsimulation LTD operates the Service. A One-Time License is a license of use, not a commitment of perpetual availability, maintenance, or compatibility.
Mdsimulation LTD may discontinue the Service, or any One-Time License, at any time, in particular where third-party technologies or platforms required for its operation no longer allow proper functioning, as described in the "Third-Party Technology Dependencies" section, without liability and without any right to compensation or refund, except where mandatory law provides otherwise.
10.Third-Party Technology Dependencies
The Service depends on third-party technologies, platforms, and services outside our control, including web browsers (such as Google Chrome), operating systems, search, cloud, and AI services (such as Google and other providers), video platforms, and payment providers. These third parties may change, restrict, degrade, or discontinue their products, interfaces, policies, or terms at any time.
If Mdsimulation LTD determines, at its sole discretion, that such third-party changes or any other technological evolution no longer allow the proper functioning of the Service or of any of its features, Mdsimulation LTD may modify, suspend, or permanently discontinue the Service or the affected features or licenses, in whole or in part, without liability. Where reasonably feasible, Mdsimulation LTD will provide notice of a permanent discontinuation. No such modification, suspension, or discontinuation gives rise to any right to compensation.
11.Acceptable Use
- Do not use the Service for any unlawful, fraudulent, or harmful purpose.
- Do not submit content that is illegal, infringing, offensive, or that you have no right to submit.
- Do not attempt to probe, disrupt, overload, or gain unauthorized access to the Service or its infrastructure.
- Do not use automated tools (bots, scrapers) to access the Service without prior written consent.
- Do not misrepresent AI-generated results as clinically guaranteed outcomes.
12.Intellectual Property
The Service, including all software, algorithms, models, interfaces, designs, animations, text, and visual materials, is and remains the exclusive property of Mdsimulation LTD and its licensors. You receive a limited, revocable, non-transferable right of use, not any ownership right.
- You may not copy, modify, translate, reverse engineer, decompile, or create derivative works of the Service.
- You may not reproduce, distribute, publish, or exploit any DentalCommunication content outside the Service, including on social media, in marketing campaigns, at public events, or on third-party platforms, without prior written consent.
- Unauthorized use will result in immediate termination of your access and may result in legal action, in which Mdsimulation LTD will seek the maximum remedies available under applicable law.
13.Confidentiality
Any information marked as confidential by either party may not be disclosed to third parties without prior consent. In case of a judicial or administrative request, the affected party must inform the other party before disclosure, where legally permitted.
14.Limitation of Liability
To the maximum extent permitted by law, Mdsimulation LTD shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, nor for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the Service, even if advised of the possibility of such damages.
The aggregate liability of Mdsimulation LTD arising out of or related to the Service shall in any event be limited to the amount of the last payment actually made by the customer.
Nothing in these Terms excludes liability that cannot be excluded under applicable mandatory law.
15.Indemnification
You agree to indemnify, defend, and hold harmless Mdsimulation LTD, its directors, employees, and partners from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, your violation of any law or third-party right, or, for professional users, any clinical decision, treatment, or communication made toward a patient.
16.Term, Cancellation, and Termination
- The subscription is effective for the duration specified in the order form or selected plan, and renews automatically unless terminated with the applicable notice.
- You may cancel your subscription at any time via your account settings or by contacting info@dentalmaster.com. The subscription remains active until the end of the current billing cycle; fees already paid are non-refundable except where required by law or by our Refund Policy.
- A material breach not remedied within thirty (30) days after written notice may result in immediate termination.
- Mdsimulation LTD may suspend or terminate free, trial, or demo access at any time, without notice and without liability.
17.Governing Law and Jurisdiction
These Terms are governed by the laws of the region of the Main Office of Mdsimulation LTD, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the region of the Main Office of Mdsimulation LTD.
Please note: while our central support uses a Belgian phone number, Mdsimulation LTD is not located in Europe. Our services and operations are managed globally.
18.General Provisions
- If any provision of these Terms is held invalid, the remaining provisions remain in full force.
- No failure to enforce a provision constitutes a waiver of it.
- You may not assign or transfer your rights under these Terms without prior written consent of Mdsimulation LTD.
- These Terms, together with the Privacy Policy and any applicable order form, constitute the entire agreement regarding the Service. In case of conflict, the order form prevails over these Terms.
